SERVICE AGREEMENT

This Service Agreement (the "Agreement") is entered into as of 5 August 2025 (the "Effective Date") by and between:

Mallinson and Wright Limited and Client may be referred to individually as a "Party" and collectively as the "Parties."

1. SERVICES

Mallinson and Wright Limited agrees to provide the following services (the "Services") to the Client:

• Website design and development

2. PAYMENT TERMS

Total Contract Value: £0.00

Deposit: £0.00 (50% of total contract value) due upon signing this Agreement.

The remaining balance of £0.00 will be due upon completion of the services.

All amounts stated in this Agreement are exclusive of VAT, which shall be added at the prevailing rate.

TERMS:

Contractor to be paid remaining balance when the services are complete.

LATE PAYMENTS:

Client will pay invoices within 14 days of receipt.

After 7 days of an invoice becoming overdue, the debt may be passed to our debt collection agency, Darcey Quigley & Co. Please be aware that the debt collection agency will add additional fees and interest to the outstanding amount. They are authorised to make in-person visits to business premises and pursue legal action if necessary to recover the debt.

SUSPENSION OF SERVICES:

In the event that the Client fails to make payment within 7 days of the due date, Mallinson and Wright Limited reserves the right to suspend web hosting services until payment is received in full. During the suspension period, visitors to the Client's website will see a notification page stating that the website is temporarily unavailable due to an account status issue. This page will also provide information for the site owner, advising them on how to restore services promptly.

3. CONTRACT TERMINATION

Either party may terminate this agreement with 14 days' written notice. In the event of termination, the Client agrees to pay Mallinson and Wright Limited for all work completed up to the termination date, including any non-refundable expenses incurred with the Client's prior approval.

4. EXPENSES

The Client agrees to reimburse Mallinson and Wright Limited for reasonable work-related expenses (e.g. necessary business travel outside a 30-mile radius of Lincolnshire, or software licenses pertaining to the project).

Travel beyond a 30-mile radius will be charged at 45p per mile plus VAT, in accordance with HMRC guidelines.

All expenses must be pre-approved by the Client in writing (email confirmation is acceptable) before they are incurred.

Mallinson and Wright Limited will provide receipts for all reimbursable expenses.

5. OUT OF HOURS SUPPORT

Out of hours support is available and will be charged at £90/hr + VAT, with a minimum charge of 1 hour per incident. Unless the Client has the "Growth Premium" package, in which case it is included free of charge.

6. CONFIDENTIALITY

Mallinson and Wright Limited will not disclose, share, or use the Client's confidential information for any purpose other than fulfilling the terms of this agreement. This obligation remains in effect indefinitely, even after the completion of the project. Confidential information does not include information that: (a) becomes publicly available through no fault of Mallinson and Wright Limited, or (b) is lawfully obtained from a third party without confidentiality restrictions.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
